Welcome to Digeratie.io (the “Platform”), owned and operated by Digeratie XP Private Limited (“Digeratie,” “Company,” “we,” “our,” or “us”).

Digeratie XP Private Limited is a company incorporated under the laws of India, with its registered office at:

The Platform is available through digeratie.io and is supported by our corporate website digeratie.com. Certain operational, technical, business, or administrative functions may also be carried out by our affiliated company, Digeratie FX INC, incorporated in Delaware, USA.

These Terms & Conditions (“Terms”) govern your access to and use of the Platform, including all software, AI-powered tools, website analysis tools, dashboards, reports, APIs, browser extensions, applications, and any other products or services offered by Digeratie now or in the future (collectively, the “Services”).

By creating an account, accessing the Platform, purchasing a subscription, or using any of our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Platform or the Services.

1. Eligibility

To use the Services, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction.
  • Have the legal capacity to enter into a binding agreement.
  • Provide accurate and complete registration information.
  • Comply with these Terms and all applicable laws.


If you are using the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. User Accounts

An account is required to access the Platform and its Services.

You may create an account using:

  • Your email address and password.
  • Google Sign-In (where available).

You agree to:

  • Provide accurate, complete, and up-to-date information.
  • Maintain the confidentiality of your login credentials.
  • Notify us promptly if you suspect unauthorized access to your account.
  • Be responsible for all activities that occur under your account.


We reserve the right to suspend or terminate accounts that contain false, misleading, or fraudulent information.

3. Our Services

Digeratie provides cloud-based Software-as-a-Service (SaaS) solutions designed to help individuals, professionals, agencies, and businesses improve their digital workflows.

Our Services may include, but are not limited to:

  • Website Analyzer
  • Content Analysis tools
  • YouTube Comment Hub
  • AI-powered productivity and content tools
  • User dashboards
  • Downloadable reports
  • Integrations with third-party services
  • Future software products, APIs, browser extensions, mobile applications, and digital services


We may add, modify, improve, suspend, or discontinue any part of the Services at our discretion. Where practical, we will provide reasonable notice of significant changes that materially affect users.

4. User Responsibilities

When using the Platform, you agree to:

  • Use the Services only for lawful purposes.
  • Provide accurate information when creating and maintaining your account.
  • Keep your account credentials secure.
  • Respect the intellectual property and legal rights of others.
  • Ensure that you have the necessary rights to submit any content, URLs, data, or information to the Platform.
  • Comply with all applicable laws, regulations, and these Terms.


You are solely responsible for the content you submit and for all activities carried out through your account.

5. Acceptable Use

To protect the Platform and its users, you must not:

  • Use the Services for any unlawful, fraudulent, or deceptive purpose.
  • Attempt to gain unauthorized access to the Platform, servers, databases, or other user accounts.
  • Upload malware, viruses, ransomware, spyware, or other harmful software.
  • Interfere with the operation, security, or availability of the Platform.
  • Reverse engineer, decompile, or attempt to extract the Platform’s source code, except where permitted by applicable law.
  • Use automated scripts, bots, or scraping tools in a manner that disrupts or places an unreasonable burden on the Platform.
  • Circumvent usage limits, authentication mechanisms, or subscription restrictions.
  • Upload or submit content that infringes the intellectual property, privacy, or other legal rights of any person or organization.
  • Use the Services to distribute spam, phishing attempts, or misleading communications.
  • Impersonate another individual or entity or misrepresent your affiliation with any person or organization.


Violation of this section may result in the suspension or permanent termination of your account.

6. User Content

You retain ownership of the content, data, prompts, text, website URLs, comments, files, and other materials that you submit through the Platform (“User Content”).

By submitting User Content, you grant Digeratie a limited, non-exclusive, worldwide, royalty-free licence to:

  • Process your content to provide the Services.
  • Generate reports, analyses, or AI-powered outputs.
  • Store your content within your account.
  • Perform actions necessary to operate, maintain, secure, and improve the Platform.


This licence continues only for as long as necessary to provide the Services and comply with legal obligations.

You represent and warrant that you have all necessary rights and permissions to submit the User Content.
 

7. AI-Powered Services

Certain features of the Platform use artificial intelligence (“AI”) to generate analyses, recommendations, summaries, insights, or other outputs based on the information you submit.

By using these AI-powered Services, you acknowledge and agree that:

  • AI-generated outputs are created automatically and may contain inaccuracies, omissions, or outdated information.
  • AI-generated content is intended to assist users and should not be considered legal, financial, tax, medical, or other professional advice.
  • You are solely responsible for reviewing, verifying, and deciding how to use any AI-generated output.
  • Digeratie does not guarantee the accuracy, completeness, originality, or suitability of AI-generated results.
  • Your submitted content is processed only to provide the requested Service and is not used by Digeratie to train public AI models.

8. Website Analyzer

The Website Analyzer evaluates publicly accessible webpages based on automated processes.

By using this Service, you confirm that:

  • You have the right or authority to analyse the website or webpage you submit, where such authority is required.
  • The Platform will only analyse publicly accessible content and will not attempt to bypass authentication, restricted areas, or security controls.
  • Reports are generated automatically and are intended for informational purposes only.


Digeratie does not guarantee that implementing recommendations from the Website Analyzer will improve search rankings, website performance, accessibility, traffic, or legal compliance.

9. YouTube Comment Hub

The YouTube Comment Hub allows users to connect eligible YouTube accounts and manage comments using the YouTube Data API or other authorised Google services.

By using this feature, you:

  • Confirm that you are authorised to access and manage the connected YouTube account.
  • Remain solely responsible for all comments, replies, scheduled responses, and other actions performed through your account.
  • Acknowledge that some features depend on Google’s services and may change if Google updates or restricts its APIs.


Digeratie is not responsible for interruptions, limitations, or changes resulting from third-party services.

10. Subscription Plans

The Platform may offer both free and paid subscription plans.

Paid plans may include:

  • Monthly subscriptions
  • Annual subscriptions
  • Promotional or discounted plans
  • Enterprise or custom plans (if introduced)


The features, usage limits, and pricing applicable to each plan will be displayed on the Platform at the time of purchase.

We may introduce new plans, modify existing plans, or discontinue plans as our Services evolve.

11. Free Trial

Eligible users may receive a 7-day free trial to evaluate certain paid features before purchasing a subscription.

Unless otherwise stated:

  • The free trial is available only to new and eligible users.
  • A valid account is required.
  • Some features may be limited during the trial period.
  • We reserve the right to modify or discontinue the free trial at any time.


If a payment method is required to start the trial, your subscription may automatically convert to a paid plan unless you cancel before the trial ends.

12. Billing and Payments

Subscription payments are processed securely through Razorpay or another authorised payment service provider.

By purchasing a subscription, you authorise Digeratie XP Private Limited (or its authorised payment processor) to charge the applicable subscription fees, taxes, and any recurring charges associated with your selected plan.

You are responsible for ensuring that:

  • Your payment information is accurate and current.
  • Sufficient funds are available to complete recurring payments.
  • Any applicable taxes or governmental charges are paid, where required.


Payment processing is subject to the terms and privacy policies of the relevant payment provider.

13. Automatic Renewal

Unless cancelled before the renewal date, paid subscriptions automatically renew at the end of each billing cycle.

If you cancel your subscription:

  • Your subscription will remain active until the end of the current billing period.
  • You will continue to have access to paid features until that period expires.
  • No further renewal charges will be applied after cancellation.


Cancellation does not entitle you to a refund except as described in our Refund & Cancellation Policy.

14. Intellectual Property

The Platform, Services, software, source code, user interface, design, graphics, trademarks, logos, reports, documentation, and all related intellectual property are owned by or licensed to Digeratie XP Private Limited and are protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not:

  • Copy, reproduce, distribute, or modify any part of the Platform.
  • Reverse engineer or create derivative works from the Services.
  • Sell, lease, sublicense, or commercially exploit the Platform without our prior written consent.
  • Remove or alter any copyright, trademark, or proprietary notices.


in these Terms transfers ownership of our intellectual property to you.

15. Service Availability

We strive to provide a secure, reliable, and uninterrupted Platform. However, we do not guarantee that the Services will always be available or operate without interruption.

The Platform may be temporarily unavailable due to:

  • Scheduled maintenance or upgrades.
  • Technical issues or software updates.
  • Internet or network disruptions.
  • Security incidents.
  • Third-party service interruptions.
  • Events beyond our reasonable control.


We reserve the right to modify, suspend, or discontinue any part of the Services at any time. Where reasonably practicable, we will provide advance notice of planned maintenance that may significantly affect the availability of the Platform.

16. Suspension and Termination

We may suspend, restrict, or terminate your access to the Platform if we reasonably believe that you have:

  • Violated these Terms or any applicable policies.
  • Engaged in fraudulent, unlawful, or abusive activities.
  • Attempted to compromise the security or integrity of the Platform.
  • Failed to pay applicable subscription fees.
  • Infringed the rights of Digeratie or any third party.


You may stop using the Services or request deletion of your account at any time.

Termination or suspension of your account does not affect any rights or obligations that arose before the termination date.

17. Disclaimer of Warranties

The Platform and all Services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by applicable law, Digeratie XP Private Limited disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy
  • Reliability
  • Availability


We do not warrant that:

  • The Platform will always be uninterrupted, secure, or error-free.
  • AI-generated outputs will always be accurate, complete, or suitable for your intended purpose.
  • Website Analyzer reports will improve website performance, search rankings, or compliance.
  • The Services will be free from bugs, vulnerabilities, or harmful components.


Users are responsible for independently evaluating any reports, recommendations, or AI-generated outputs before relying on them.

18. Limitation of Liability

To the maximum extent permitted by applicable law, Digeratie XP Private Limited, its directors, officers, employees, affiliates, contractors, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to your use of the Platform or Services.

This includes, but is not limited to:

  • Loss of profits
  • Loss of revenue
  • Loss of business opportunities
  • Loss of data
  • Loss of goodwill
  • Business interruption
  • Costs associated with obtaining substitute services


Where liability cannot be excluded under applicable law, our total liability for any claim arising out of or relating to the Services shall not exceed the amount paid by you to Digeratie XP Private Limited for the applicable subscription during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits any liability that cannot be excluded or limited under applicable law.

19. Indemnification

You agree to indemnify, defend, and hold harmless Digeratie XP Private Limited, its affiliates, directors, officers, employees, contractors, licensors, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Platform or Services.
  • Your violation of these Terms.
  • Your User Content.
  • Your misuse of AI-generated outputs or other Platform features.
  • Your infringement of the rights of any third party.
  • Your violation of applicable laws or regulations. 

20. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

The courts located in Mumbai, Maharashtra, shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or your use of the Platform, unless otherwise required by applicable law.

Before initiating formal legal proceedings, both parties agree to make reasonable efforts to resolve any dispute through good-faith discussions.

21. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, technology, or business operations.

When material changes are made, we will update the Last Updated date at the beginning of these Terms and, where appropriate, notify users through the Platform or by email.

Your continued use of the Platform after the updated Terms become effective constitutes your acceptance of the revised Terms.

23. Entire Agreement

These Terms & Conditions, together with our Privacy Policy and Refund & Cancellation Policy, constitute the entire agreement between you and Digeratie XP Private Limited regarding your use of the Platform and Services.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Failure by Digeratie to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights available under applicable law.
